A freeze-out provision may exist in a takeover agreement, which permits the acquiring organization to buy the noncontrolling shares held by small shareholders. A fair price is usually set, and the freeze-out may take place at a specified time, perhaps two to five years after the takeover. A freeze-out can still take place, even if provision for it is not made in a corporate charter, by applying pressure to minority shareholders to sell their shares to the acquiring company. -
